Our 50,000 colleagues in 120 countries empower results for clients by using proprietary data and analytics to deliver insights that reduce volatility and improve performance. Aon is an equal opportunities employer.  Aon's recruitment and selection policy ensures the best possible skill mix of colleagues and the highest quality candidates are appointed using objective job-related criteria. About the Role  Your impact as Assistant Company Secretary:Acting as Secretary to Boards and / or Board CommitteesProviding guidance and support to the Company Secretary, the Deputy Company Secretary and the Boards of the various subsidiaries in the UK Group in relation to governance and statutory complianceProducing Board and Committee papers as required (and overseeing the uploading of packs to the electronic portal)Minuting Board / Committee / Governance forum meetings (including the Aon Investments Ltd Risk & Compliance Committee, the Aon Securities Ltd Board, the Financial Crime Risk Committee, the Conduct Committee, the Product Oversight Group, and the Mclagan (Aon Limited) Board)Seeking efficiencies, consistency and best practice in the running of Boards and Committees across the UK GroupAssisting with Board / Committee effectiveness reviewsCo-ordinating Board approvals as required for specific transactions/group restructurings (including the drafting of the relevant transaction minutes/recording of decisions and any shareholder authorisations/resolutions, arranging the necessary approvals, execution of the required documentation, and ensuring appropriate records are maintained)Assisting with the process of ensuring that entities in the UK Group have appropriate memorandum and articles of association in place (including reviewing the articles of association for newly acquired entities and aligning these to the Aon model and helping to ensure the latter remains up to date)Contributing to meeting discussions as and when required and advising members of the statutory and governance implications of proposed policies and actionsProject-managing the process for Board approval of the statutory Financial Statements for UK companies, including liaising with colleagues across the business to finalise these, to agree the annual timetable, co-ordinating the Company Secretarial Team’s review of draft statements (incl. regarding any required statutory compliance and Board governance disclosures), arranging Board approval, and ultimately submission to the Registrar of CompaniesOverseeing the Company Secretarial Assistant with their management of statutory compliance across the UK Group including ensuring appropriate record-keeping reporting and filing and that all applicable statutory filings are madeOverseeing the Company Secretarial Assistant with their maintenance of all UK entity statutory registers using predominantly Blueprint but also other applications such as excel spreadsheets, Diligent, Secretariat and SharePointOverseeing the Company Secretarial Assistant with the ongoing maintenance of company licenses and the timely renewal of theseAttending to day to day issues as required, including the provision of information regarding companies in the UK Group, execution of corporate representative documentation and searches for subsidiaries, the drafting and issue of powers of attorney and the notarisation of documentationResponsibility for working in accordance with the Aon UK Limited Risk Management Framework, and compliance with the Aon UK Limited policies, including participation in the management of risks (including completion of mandatory training) that may adversely affect the business, interests or reputation of any Group Company. About you  Your knowledge and expertise: Associate Member of ICSA or equivalentExperience within a company secretarial department, preferably gained within the insurance/financial services sectorAccuracy and attention to detailStrong communication skillsConfidence to liaise with board level executives and senior management across the BusinessAbility to work both as a team player and individually, including providing support and oversight to the Company Secretarial Assistant as they carry out their roleGood organisational and line management skillsDiscretion when handling confidential informationAble to meet multiple deadlinesSalary and Benefits This role offers a competitive salary and bonus, plus a comprehensive benefits package and 25 days holiday.
